Our Constitution
The Basics
At McLaren Vale & Districts War Memorial Hospital (MVH), we’re committed to providing quality healthcare while ensuring transparency, community involvement, and good governance. Our Constitution outlines how our hospital operates, guiding everything from membership to decision-making. Here’s a brief overview of what it covers and why it matters.
Who We Are and What We Do
Our Constitution officially names us as “McLaren Vale & Districts War Memorial Hospital Incorporated” and outlines our purpose: to deliver sustainable, community-focused healthcare services. It ensures all proceeds and resources are reinvested into the hospital’s objectives—no profits go to individual members.
Membership
Anyone aged 18 or over who supports our mission can apply to become a member. Members pay an annual fee, and after four weeks, they can vote at general meetings and even nominate for positions on the Board. Membership is key to community involvement, giving local people a real say in how the hospital is run.
Our Board and How Decisions Are Made
The Board of Management is the heart of hospital governance. It has eight elected members plus senior staff who attend in an advisory capacity. Board members are elected for two-year terms at our Annual General Meeting (AGM). They oversee hospital policy, finances, staff appointments, and more, ensuring the hospital operates efficiently and responsibly.
Meetings and How to Get Involved
Our Constitution outlines transparent processes for Annual General Meetings (AGMs) and Special General Meetings (SGMs). The AGM is held every year by 31 October, where members receive reports, elect board members, and review our financial health. Members can also request Special General Meetings (SGMs) if needed, ensuring an open and democratic process for key decisions.
Financial Transparency
MVH is committed to financial integrity. Our Constitution requires thorough record-keeping, audited annual reports, and compliance with state laws. Surplus funds must be used to support hospital services, not private interests.
Resolving Disputes
Sometimes disagreements arise. Our Constitution includes a fair dispute resolution process that encourages members to discuss issues and, if necessary, utilise community justice centres for mediation.
No Profits for Individuals
One of our core principles is that no member benefits personally from the hospital’s income. All money raised—through fees, donations, or other means—goes straight back into the hospital and its services.
Winding Up
In the unlikely event that MVH ever winds up, any surplus assets must go to another community organisation with similar goals, ensuring ongoing benefit to the local community.
Why This Matters
Our Constitution helps us stay accountable, transparent, and community-driven. It empowers our members, safeguards our resources, and keeps us focused on our mission: to provide high-quality healthcare for the McLaren Vale community and beyond.
